Terms of Use

Spectra CI provides software tools for professional salons to manage color inventory, formulas, client records, and related workflows. By accessing or using the platform, you agree to these terms and to any applicable privacy notice and customer-specific commercial documentation.

1. Solution

Spectra CI provides a software solution for salons to manage client records, formulas, inventory, and operational workflows. Subject to these terms, customers receive a limited, non-exclusive right to use the platform solely for their internal business purposes.

2. Accounts

Customers must provide accurate account information, keep credentials secure, and ensure that only authorized users access the platform. Managers may administer employee access and permissions on behalf of the customer.

3. Restrictions

Customers may not reverse engineer, modify, resell, sublicense, distribute, bypass security protections, or provide the platform to third parties except as expressly authorized in writing.

4. Data and Privacy

Customer data remains the customer's confidential information. Customers are responsible for ensuring they have all necessary rights and permissions to provide data to Spectra CI. Spectra CI may use customer data to operate the service and may use aggregated or anonymized data to improve the platform.

5. Intellectual Property

All rights in the platform, including its software, design, enhancements, and underlying technology, belong exclusively to Spectra CI. Customer content remains owned by the customer, but the customer grants Spectra CI the rights needed to host, process, analyze, and improve the service.

6. Confidentiality

Each party may receive confidential information from the other. Such information must be protected and used only for purposes related to the use or provision of the platform, except where disclosure is required by law.

7. Subscription and Payments

Access to the platform may require subscription fees or other agreed charges. Pricing, billing, renewals, and payment methods are governed by the applicable order form, quote, or commercial agreement between the parties.

8. Warranties and Disclaimer

Except where expressly stated, the platform is provided "as is" and "as available". Spectra CI disclaims all implied warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

9. Indemnification

Customers agree to defend and indemnify Spectra CI against claims, losses, liabilities, and expenses arising from misuse of the platform, breach of these terms, violation of law, or infringement caused by customer data or customer content.

10. Limitation of Liability

To the maximum extent permitted by law, Spectra CI will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data arising from use of the platform.

11. Termination and Updates

Spectra CI may suspend or terminate access in cases of misuse, breach, non-payment, legal risk, or security concerns. We may update these terms from time to time, and continued use of the platform after an update constitutes acceptance of the revised terms.
